Trade Terms & Conditions

These Trade Terms & Conditions apply exclusively to purchases made through a De Atrium approved trade account by businesses, retailers, interior designers, architects, hospitality professionals and other professional customers (“Trade Customers”).
By submitting an order through a De Atrium trade account, the Trade Customer agrees to these Trade Terms & Conditions.
1. Trade Accounts
Access to De Atrium trade pricing is subject to approval. De Atrium reserves the right to approve, decline, suspend or close a trade account at its discretion.
Trade accounts and trade pricing are intended exclusively for professional and business use and may not be transferred to third parties.
2. Prices and VAT
All trade prices are stated in euros (€) excluding VAT, unless otherwise indicated.
Applicable VAT and other taxes will be added where required by law. For eligible intra-EU business transactions, VAT treatment may depend on the validity of the customer’s VAT identification number and applicable tax regulations.
Recommended retail prices, where provided, are indicative only.
3. Minimum Orders
The minimum opening order is €1,000 excluding VAT.
The minimum reorder value is €300 excluding VAT.
Individual products may also be subject to minimum order quantities (MOQs), as indicated in the Trade Catalogue or B2B portal.
4. Order Review and Confirmation
Orders submitted through the De Atrium B2B portal constitute an order request and are subject to review and confirmation by De Atrium.
Submitting an order does not constitute final acceptance by De Atrium.
Following review, De Atrium may confirm product availability, quantities, lead times, shipping costs and payment terms before accepting the order.
If adjustments are required, De Atrium will contact the Trade Customer before the order is confirmed.
5. Payment
Payment becomes due once the order has been reviewed and confirmed by De Atrium, according to the payment terms communicated with the order confirmation or invoice.
Orders may be held until payment requirements have been satisfied.
6. Shipping
Orders are shipped from Milan, Italy.
Shipping costs are not included in trade product prices unless expressly stated otherwise. Shipping details and costs are confirmed after order review, based on destination, order volume, weight and other relevant logistical requirements.
The Trade Customer is responsible for providing complete and accurate delivery information.
7. Availability and Lead Times
Products available from stock are typically dispatched within 3–5 business days following order confirmation and, where applicable, receipt of payment.
Products requiring production or replenishment are subject to the lead times indicated in the Trade Catalogue, B2B portal or order confirmation. Lead times are estimates and may vary depending on production and supplier availability.
De Atrium will communicate material changes affecting an accepted order whenever reasonably possible.
8. Product Characteristics
Many De Atrium products are handcrafted or produced using artisanal processes and natural materials.
Minor variations in colour, texture, finish, dimensions or appearance may therefore occur between individual pieces. Such variations are part of the character of the product and are not considered defects where they fall within reasonable production tolerances.
9. Inspection, Damage and Claims
The Trade Customer should inspect the shipment promptly upon delivery.
Any visible transport damage should, where possible, be noted with the carrier at the time of delivery and documented with photographs.
Claims concerning damaged, defective or incorrect products should be communicated to De Atrium within 5 business days of delivery, together with the order details and clear photographic evidence.
De Atrium will assess the claim and, where accepted, determine the appropriate remedy, which may include replacement, credit or refund.
Products should not be returned without prior authorization from De Atrium.
10. Cancellations and Returns
Confirmed trade orders cannot be cancelled or modified without prior written agreement from De Atrium.
Products made to order, customized products and products specifically procured or produced for a Trade Customer cannot normally be cancelled or returned once production or procurement has begun.
Trade purchases are made for professional purposes and are not subject to consumer cancellation or withdrawal rights applicable to consumer purchases.
Any return accepted by De Atrium must be authorized in advance and comply with the return instructions provided.
11. Resale and Brand Presentation
Products must be represented accurately and in a manner consistent with the positioning and integrity of the De Atrium brand.
De Atrium trademarks, imagery, editorial materials and other intellectual property may not be altered or used for purposes unrelated to the authorized resale or promotion of De Atrium products without prior permission.
12. Intellectual Property
All trademarks, product names, designs, photographs, texts and other intellectual property associated with De Atrium remain the property of De Atrium or their respective rights holders.
Purchase of De Atrium products does not transfer any intellectual property rights to the Trade Customer.
13. Limitation of Liability
To the extent permitted by applicable law, De Atrium shall not be liable for indirect or consequential losses arising from a trade order, including loss of profit, revenue or business opportunity.
Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law.
14. Changes to These Terms
De Atrium may update these Trade Terms & Conditions from time to time. The terms applicable to an order are those in effect when the order is submitted, unless otherwise agreed in writing.
15. Governing Law
These Trade Terms & Conditions and trade transactions with De Atrium are governed by Italian law.
Any dispute relating to a trade transaction shall be subject to the jurisdiction of the competent Italian courts, subject to any mandatory provisions of applicable law.
